Hamlet of Tilley Door-to-Door Solid Waste Collection Services
The County is requesting a quote for the Hamlet of Tilley Door-to-Door Solid Waste Collection Services as per
the below services, performance of services, atmospheric conditions, and experience.
1. SERVICES
The Contractor shall choose how it fulfills door-to-door weekly service for approximately 170 serviced
properties.
The Contractor shall choose how it fulfills weekly service for trash receptacles on Hwy 873 between 1 st
Avenue and 3rd Avenue.
Currently serviced properties are responsible to supply their own animal proof containers, including
ensuring all domestic solid waste is bagged.
It is not the Contractors responsibility to, nor shall payment be issued for:
a. cleaning up loose waste,
b. collecting of yard waste, and
c. collecting waste of construction materials.
The Contractor shall advise the County of issues that may arise immediately.
2. PERFORMANCE OF SERVICES
All Solid Waste Collection Services shall be provided at a minimum rate of not less than one (1) time per
week, generally mid-week.
The Contractor shall use due care in handling solid waste to ensure solid waste is controlled once
received.
The Contractor shall, upon receiving solid waste, haul all collected solid waste to the Tilley Transfer
Station located at NW ¼ Sec 35-17-13-W4M. Please see the attached Schedule “B”.
The Contractor shall utilize the County provided checklist to ensure all properties are serviced. Records
shall include the serviced property address and any comments necessary as evidence of service provided
where issues are known or may result.
Completed checklists are to be submitted upon monthly invoicing of work.
3. ATMOSPHERIC CONDITIONS
Solid Waste Collection Services shall be performed throughout the calendar year, in all seasons, and all-
weather conditions.
4. EXPERIENCE
The proponent must provide a list of professional references that can confirm relevant
experience/qualifications as relates to the services identified in this Request for Quote document.

(hereinafter referred to as the “County”)
OF THE FIRST PART

Contractor
Province of Alberta
(hereinafter called “the Contractor”)
OF THE SECOND PART
WHEREAS the County requires domestic bagged solid waste removal from pick up
locations at the residences, commercial and industrial buildings, campground, and baseball
diamonds within the Hamlet of Tilley in the County of Newell and the Contractor desires to be
hired by the County as a subcontractor on the terms and conditions hereinafter set forth in
this Agreement;
NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the
mutual covenants and agreements hereinafter set forth, the County and the Contractor
agree as follows:
1. The County hereby retains the services of the Contractor as an independent
contractor to perform solid waste garbage removal exclusively on behalf of the County.
2. For the term of three (3) years commencing January 1, 2024, ending December
31, 2026. The Contractor shall on the _______________ of each week remove domestic
bagged solid waste placed in animal proof containers from those pick-up locations for
residences, waste bins, commercial buildings and industrial buildings set forth on the map
in Schedule "A" attached hereto and forming part of the Agreement. The Contractor shall
remove domestic bagged solid waste from the campground only on said _______________
when the campground is in use, and shall only remove domestic bagged solid waste from
the ball diamonds after being advised by the County of a special event occurring at the ball
diamonds. The location of the bagged solid waste removal at each location within the Hamlet
of Tilley is designated on the map set forth in Schedule “A”. All domestic bagged solid waste

is to be hauled to the Tilley Transfer Station, refer to Schedule “B” for location.
3. As compensation for the work and services performed by the Contractor for the
County pursuant to this Agreement, the County shall pay to the Contractor a rate of $XXX.XX
plus GST $XX.XX per week for services rendered pursuant to this Agreement. In order to
receive payment, the Contractor shall on the last day of each calendar month issue an
invoice to the County for services rendered in said month and the County shall pay the
invoice within ten (10) business days of receipt of invoice.
4. The Contractor shall not remove from any location designated by Schedule “A” any
non-bagged or loose solid waste, liquids, yard waste, recyclable material, unknown waste
materials, appliances, furniture or construction materials or any other waste or material as
directed at any time by the County.
5. While in the process of removing bagged solid waste from those locations within the
Hamlet of Tilley as set forth in Schedule “A” each week, the Contractor shall be required
to fill out and maintain the checklist set forth in Schedule “C” attached hereto and forming
part of this Agreement and to provide the County with a valid written report as to where bagged
solid waste was removed from each week, and in the event that waste is not removed, setting
out reasons as to why waste was not removed. The Contractor shall submit the completed
checklists on the last day of each calendar month, with the contractors invoice.
6. In the event that the Contractor desires to designate a permanent alternate date for
the services set forth in this Agreement, the Contractor shall make the request to the County
in writing no less than 21 days prior to proposed alternate service date. The alternate
service date shall not be scheduled by the Contractor until such time as the County has
approved the request, such approval shall not be unreasonably withheld. Should the
Contractor need to designate an alternate date for any single week, the Contractor shall
provide notice to those affected in the manner and form agreed to between the Contractor
and the County.
7. The Contractor shall supply all equipment required to complete the work contracted
for under this Agreement and shall be solely responsible for the care and maintenance of the
equipment used by the Contractor.
8. The Contractor shall hold a valid agreement with the County in the form of an
approved contractor safety program.

9. The Contractor undertakes and agrees that he will perform all services and work
personally unless the County's consent is first obtained and in such case the Contractor shall
only permit persons who are properly licensed, trained and properly qualified to perform the
work and services and operate the said Contractor's equipment.
10. The Contractor undertakes to at all times perform the jobs and supply the services
being performed and supplied pursuant to this Agreement in a good, proper and workmanlike
fashion.
11. The Contractor shall besides carrying Workman’s Compensation, also carry
General Liability Insurance coverage for bodily injury and property damage with a minimum
limit of $2,000,000.00. In addition, the Contractor will carry Automobile Insurance with a
Third-Party Liability limit with a minimum of $2,000,000.00. Evidence of coverage will be
supplied to the County by a Certificate of Insurance at the beginning of the contract, and
upon renewal of the contract. The Contractor shall also be responsible for deducting and
paying his own income tax, unemployment insurance, fuel, maintenance and other costs of
operating.
12. The Contractor covenants to indemnify and hold harmless the County of and from
all damages which may result in an accident to the operator or any employee or any accident
to any person through the actions or negligence of the Contractor or his employees whether
upon the premises of the County or otherwise. In this regard, the Contractor shall besides
carrying Workman's Compensation, also carry personal injury and property damage
insurance in an amount acceptable to the County. The County shall not in any way be liable
for the carrying of any insurance other than the County in its' sole discretion may determine.
13. In the event that the Contractor does not perform the services required of him by the
County in a good and workmanlike fashion, the County may terminate this agreement prior
to the end of the three (3) year term on two (2) weeks written notice to the Contractor.
14. The Contractor agrees that neither this agreement nor any interest herein shall
be assignable or transferable by operation of law and it is hereby mutually agreed,
covenanted and understood by and between the parties hereto that in the event any
proceeding under the Bankruptcy Act or any amendment thereto be commenced by or against
the Contractor or in the event the Contractor be adjudged insolvent or makes an assignment
for the benefit of the Contractor's creditors, or if a receiver be appointed in any proceeding or
action to which the Contractor is a party, at the option of the County, shall immediately end
and terminate and shall in no way be treated as an asset of the Contractor after the exercise
of the aforesaid option.

15. The Contractor shall comply with and conform to a ll laws, ordinances and
regulations, present or future throughout the term of this agreement and to the absolute
exoneration from liability of the County.
16. All remedies hereinbefore and hereafter conferred upon the County shall be deemed
cumulative and no one exclusive of the other, or of any other remedy conferred by law.
17. No covenant or condition of this agreement may be waived except by the written
consent of the County, and forbearance or indulgence by the County in any regard
whatsoever shall not constitute a waiver of the covenant or condition to be performed by the
Contractor to which the same may apply, and, until complete performance by the Contractor
of said covenant or condition, the less or shall be entitled to invoke any remedy available to
the County under this agreement or by law, despite said forbearance or indulgence.
18. Time is of the essence of this agreement and each and all of its provisions.
19. This agreement shall ensure to the benefit of and be binding upon the successors
and assigns of the respective parties hereto and the heirs, executors and administrators
of the Contractor, if an individual, always providing that nothing in this paragraph contained
shall impair any of the provisions hereinbefore set forth prohibiting assignment without the
written consent of the County.
